1. Company status

Reinx, Inc. (“Reinx”) is a financial technology company. Reinx is not a bank, savings institution, credit union, trust company, or any other type of depository institution. Reinx does not hold deposits, issue credit, or operate as a licensed money transmitter.

Payment card services are provided through Stripe, Inc. via Stripe Issuing. Financial account and stablecoin services are provided through Stripe Financial Accounts and Bridge (operated by an OCC-approved national trust bank). Wallet infrastructure is provided through Privy using custodial wallets backed by Bridge, a licensed custodian. Banking services, where applicable, are provided by Reinx’s banking partners.

2. FDIC insurance disclosure

Your funds are not insured by the Federal Deposit Insurance Corporation (FDIC).

Funds added to your Reinx Financial Account are converted to and held as stablecoins (USDB or USDC). These are digital assets, not traditional bank balances, and are not covered by FDIC insurance or any other government insurance program.

About USDB

USDB is a stablecoin backed 1:1 by U.S. Treasury bills and BlackRock money market funds. USDB is issued and managed by Bridge, which operates under an OCC-approved national trust bank charter. While designed to maintain a 1:1 peg to the U.S. dollar, USDB is not guaranteed by any government entity.

About USDC

USDC (USD Coin) is a stablecoin backed 1:1 by cash and cash equivalents, issued by Circle Internet Financial, LLC. USDC reserves are held in regulated financial institutions and U.S. Treasury securities. USDC undergoes regular independent attestations. While designed to maintain a 1:1 peg to the U.S. dollar, USDC is not guaranteed by any government entity.

Risk acknowledgment

By using the Reinx platform, you acknowledge that your funds may be subject to the risk of stablecoin de-pegging, issuer insolvency, or regulatory action that could affect the value or accessibility of your balance. Reinx is not responsible for losses arising from stablecoin value fluctuations or issuer failures.

Redemption rights

You have the right to redeem your stablecoin balance for U.S. dollars at any time at the stated conversion rate, subject to applicable withdrawal processing times. Standard redemptions via ACH are processed within 1–2 business days. Instant redemptions are available for a fee (see Fee Schedule below). Reinx does not charge a conversion fee for redeeming stablecoins to USD.

3. Payment network disclosures

  • Card network: Virtual cards issued through the Reinx platform operate on the Visa and/or Mastercard payment networks. All card transactions are subject to the rules, regulations, and dispute resolution procedures of the applicable card network.
  • Card issuer: Virtual cards are issued by Stripe’s issuing bank partner(s) pursuant to licences from Visa U.S.A. Inc. and/or Mastercard International Incorporated. Reinx is not the card issuer.
  • Interchange: Reinx earns interchange revenue on card transactions at the prepaid card exempt bank rate (approximately 1.2%). This interchange is paid by the merchant’s acquiring bank and does not increase the purchase price for you or your agents.

4. Stablecoin yield disclosure

  • Yield source: When your funds are held as USDB, the reserve assets (U.S. Treasury bills and money market funds) generate interest income (approximately 3.5–4.0% gross APY as of the effective date). Bridge shares a portion of this yield with the Reinx platform.
  • Not an investment: Stablecoin yield sharing is a platform feature, not a securities offering, investment product, or interest-bearing account. Yield rates are variable, not guaranteed, and may change at any time based on market conditions and reserve composition. Past yield rates do not guarantee future returns.
  • Yield eligibility: Yield sharing is available only to users on eligible paid subscription tiers (Pro and Enterprise) when this feature is activated. Free-tier users do not receive yield on their balances. Reinx retains yield earned on Free-tier balances to fund platform operations.
  • Tax implications: Yield earned on your balance may be taxable income. Reinx does not provide tax advice. Consult a qualified tax professional regarding your specific situation. Reinx will provide tax documentation (such as Form 1099) as required by applicable law.

5. Cryptocurrency and blockchain disclosures

  • Blockchain transparency: Cryptocurrency transactions on public blockchains (including Base, Solana, and other supported networks) are publicly visible. Anyone can view wallet addresses, transaction amounts, and transaction histories. Reinx cannot prevent third-party access to publicly available blockchain data.
  • Transaction irreversibility: Once a cryptocurrency transaction is confirmed on a blockchain, it cannot be reversed, cancelled, or recalled by Reinx or any party. Exercise caution when approving agent wallet transactions.
  • Gas fees: Blockchain transactions require gas fees paid to network validators. At launch, Reinx sponsors all gas fees. In the future, transparent per-transaction network fees may be introduced and will be clearly disclosed before execution.
  • Regulatory environment: The regulatory landscape for cryptocurrency is rapidly evolving. Future laws, regulations, or enforcement actions may affect the availability, functionality, or legality of certain wallet features or stablecoin services.

6. AI agent disclosures

  • Agent autonomy: AI agents operating on the Reinx platform may make financial decisions and execute transactions with varying degrees of autonomy. While Reinx provides robust controls (spending limits, merchant restrictions, approval workflows, velocity detection, and kill switches), the behaviour of AI agents depends on their underlying models, prompts, and configurations, which are controlled by you — not by Reinx.
  • Prompt injection risk: AI agents may be vulnerable to prompt injection attacks where malicious content attempts to manipulate agent behaviour. Reinx’s controls are enforced at the infrastructure level (not the AI layer), providing protection even if an agent is compromised. However, no system is perfectly secure.
  • Agent Health Scores: Agent Health Scores (300–850) are proprietary, informational metrics. They do not constitute credit scores, financial ratings, or guarantees of agent reliability. Reinx may use these scores for platform feature eligibility and risk management.
  • AI copilot: The Reinx AI copilot provides conversational assistance for platform navigation and agent management. Copilot responses do not constitute financial, legal, tax, or investment advice. Always exercise independent judgment and consult qualified professionals for important decisions.

7. E-Sign consent

By creating a Reinx account, you consent to conduct business electronically and to receive electronic records, disclosures, notices, and communications from Reinx and its partners (including Stripe) in connection with your account and the Services. You agree that electronic records satisfy any legal requirement that such communications be in writing.

To receive electronic communications, you need a device with internet access, a current web browser with cookies enabled, and a valid email address. You may withdraw your consent to electronic communications by contacting legal@reinx.ai, but withdrawal may result in termination of your account, as the Services require electronic communication to function.

9. Regulatory compliance

  • Know Your Customer (KYC): Reinx is required to verify the identity of all users before providing access to financial services, in compliance with the Bank Secrecy Act (BSA), USA PATRIOT Act, and FinCEN regulations. KYC verification is conducted through Stripe Connect Custom onboarding.
  • Anti-Money Laundering (AML): Reinx maintains an AML compliance program including transaction monitoring, suspicious activity reporting (SARs), and sanctions screening. Transactions may be delayed, declined, or reported as required by AML regulations.
  • OFAC compliance: Reinx screens users and transactions against the Specially Designated Nationals (SDN) list and other sanctions lists maintained by the U.S. Department of the Treasury’s Office of Foreign Assets Control.
  • Stablecoin regulation: Reinx operates in compliance with applicable federal and state regulations governing stablecoins, including the GENIUS Act framework enacted in 2025. The regulatory landscape continues to evolve, and Reinx will adapt its practices as required.
  • Regulation E (error resolution): For electronic fund transfers processed through the Reinx platform (including ACH transfers and card transactions), you have error resolution rights under Regulation E of the Electronic Fund Transfer Act. If you believe an error has occurred on your account, contact us at legal@reinx.ai within 60 days of the statement showing the error. We will investigate your claim within 10 business days (or 20 business days for new accounts) and report our findings. If we need more time, we may take up to 45 days to complete the investigation, during which provisional credit may be applied to your account.
